Closing Framework & Counsel Opinion

A C-PACE closing involves a statutory assessment, a private lender, a property owner, an existing mortgage holder, and a county collection process. Left unstructured, each deal would renegotiate the same questions; a defined framework means they were answered once, by counsel, and are applied consistently. The beneficiaries are the owner, who gets a predictable timeline, the capital provider, who gets a lien it can rely on, and the municipality, which gets neither surprises nor requests for ad hoc participation. This sheet sets out what the framework includes — an authority opinion on every transaction addressing valid formation, proper municipal joinder, and authority to levy on the parcel, which is among other things an independent confirmation that your authorizing action was valid and remains in effect; a special tax counsel enforceability opinion at the lender’s election; senior lender consent, administered by the district; and recording that puts subsequent purchasers and lenders on notice of an obligation running with the land.
